the Intelligence Division, and I attended a conference at the Y
request of Assistant Attorney General Dixon concerning the matter aN
of disclosure of the FBI Manual of Instructions to Senator Kennedy.
Also attending the conference were Mary Lawton, Deputy Assistant
Attorney General, Office of Legal Counsel, and John Gallinger and
Douglas Marvin, attorneys in the Office of Legal Counsel.
Mr. Dixon discussed the various alternative responses that
might be given to Senator Kennedy and his suggestions ranged from
general public disclosure of the manuals to denial of disclosure entirely.
The manuals had been reviewed by Mr. Dixon's assistants who were
attending the meeting and they offered the observations that the innocuous
material in the manuals had scattered throughout references to sensitive
material therefore full disclosure of the manuals could be detrimental
to the FBI. Mr. Dixon indicated he was still looking for a means of
resolving this matter.

. I suggested to Mr. Dixon that the Attorney General might
respond to Senator Kennedy in writing with an offer to allow the Senator
to review pertinent portions of the manual under a written understanding
that such review would not result in public disclosure of the material.
I suggested that this offer, while not necessarily binding on the Senator,
could provide an appropriate response by the Attorney General and the
establishment of conditions guaranteeing security of the material would
appear to be reasonable because of the need to avoid public disclosure of
certain portions of the manuals. Mr. Dixon said he agreed that such
